Solagree is not a law firm and does not provide legal advice. We connect clients with independent licensed professionals. Nothing in these Terms creates an attorney-client relationship between you and Solagree.
1. Acceptance of Terms
By accessing or using the Solagree website at solagree.com (the "Site"), the Solagree portal at portal.solagree.com (the "Portal"), or any services offered through these platforms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.
These Terms apply to all users of the Services, including divorcing couples, professional partners (attorneys, CDFAs, mediators, arbitrators, and counselors), and visitors to the Site.
2. Description of Services
Solagree provides a structured, virtual divorce resolution platform that facilitates mediation and arbitration through a three-phase process: financial and parenting evaluation (Phase 1), mediation (Phase 2), and binding arbitration (Phase 3). Solagree connects users with independent licensed professionals, including Certified Divorce Financial Analysts (CDFAs), mediators, arbitrators, and attorneys.
Solagree-CORE and Solagree-COMPASS are flat-fee service programs available to qualifying couples. The specific scope, timelines, and deliverables of each program are described in the enrollment agreement and service documentation provided at the time of enrollment.
3. Eligibility
To use the Services, you must:
- Be at least 18 years of age.
- Be legally competent to enter into binding agreements.
- Be a resident of a U.S. state or territory in which Solagree currently operates.
- Not be subject to any court order or legal restriction that would prevent participation in private dispute resolution.
Professional partners must additionally meet the credentialing and licensing requirements specified in their separate Partner Agreement with Solagree.
4. Accounts and Portal Access
Access to the Portal requires creation of a user account. You agree to provide accurate, current, and complete information at registration and to update that information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify Solagree immediately at contact@solagree.com if you suspect unauthorized access to your account. Solagree is not liable for losses resulting from unauthorized account use where you have failed to maintain reasonable credential security.
5. Fees and Payment
Solagree charges flat fees for its programs as published on the Site at the time of enrollment. Fees are per person unless otherwise stated. By enrolling, both parties agree to the applicable fee structure.
Fees are due as specified in your enrollment agreement. Solagree reserves the right to suspend access to the Portal and Services if fees are not paid when due. Refund eligibility is governed by the Refund Policy provided at enrollment. All fees are stated in U.S. dollars.
Professional partner compensation is governed separately by each partner's Partner Agreement with Solagree and is not subject to these Terms.
6. The Arbitration Process and Binding Nature of Awards
IMPORTANT: The Solagree process includes binding arbitration. By enrolling in a Solagree program, both parties agree that the arbitration award issued in Phase 3 is final and binding, subject only to the grounds for vacatur or modification permitted under applicable state arbitration law (including the Uniform Arbitration Act or Federal Arbitration Act, as applicable).
Both parties acknowledge that they have had the opportunity to consult with independent legal counsel before entering into the Solagree process and before agreeing to binding arbitration.
Nothing in these Terms prevents either party from consulting with or retaining an independent attorney at any point during the Solagree process.
7. Independent Professionals
All CDFAs, mediators, arbitrators, attorneys, and other professionals participating in the Solagree process are independent contractors, not employees or agents of Solagree. Solagree does not practice law, provide financial advice, or guarantee any particular outcome.
The professional services provided by these independent contractors are subject to their own professional obligations, licensing requirements, and ethical rules. Solagree does not supervise or direct the substantive professional judgment of participating professionals.
8. Confidentiality
Solagree maintains strict confidentiality of all case-related information, including documents uploaded to the Portal, communications between parties, and professional work product. Case information will not be disclosed to third parties except:
- As required by law or court order.
- To facilitate the Services (e.g., sharing financial documents with the assigned CDFA or mediator).
- With the written consent of both parties.
- In connection with proceedings to enforce or vacate an arbitration award.
Mediation communications are protected under applicable state mediation privilege laws.
9. User Conduct
You agree not to use the Services to:
- Provide false or misleading information about your financial circumstances, assets, or liabilities.
- Harass, threaten, or intimidate the other party or any professional.
- Upload documents or information that are forged, fabricated, or obtained unlawfully.
- Interfere with the technical operation of the Portal.
- Attempt to circumvent or manipulate the structured process.
Violation of these conduct standards may result in suspension or termination of Services, without refund, at Solagree's sole discretion.
10. Intellectual Property
All content on the Site and Portal, including text, graphics, logos, process documentation, templates, and software, is the property of Solagree, LLC or its licensors and is protected by U.S. copyright and trademark law. The Solagree name and logo are registered trademarks of Solagree, LLC.
You are granted a limited, non-exclusive, non-transferable license to access and use the Portal solely for the purpose of participating in the Solagree process. No other use is permitted without prior written consent.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOLAGREE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
SOLAGREE DOES NOT GUARANTEE ANY SPECIFIC OUTCOME, RESOLUTION, OR AGREEMENT AS A RESULT OF USING THE SERVICES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLAGREE, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SOLAGREE'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL FEES PAID BY YOU TO SOLAGREE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Governing Law and Dispute Resolution
Governing state and arbitration venue: Pending legal approval.
Any dispute between you and Solagree arising from these Terms or the Services that is not resolved informally shall be submitted to binding arbitration under the rules of the American Arbitration Association unless you and Solagree agree otherwise.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
14. Changes to These Terms
Solagree reserves the right to modify these Terms at any time. Changes will be posted to the Site with an updated effective date. Continued use of the Services after the effective date of changes constitutes acceptance. If you object to any changes, your sole remedy is to discontinue use of the Services.
